Storyteq Software Integrations and API Terms of Use

These Integration and API terms of use (“Agreement”) describes the terms of use for any integration or API connection, to and from access any system supplied by StoryTeq and ITG Group, including any SaaS or Mobile Apps, whether it is provided directly or through another party.
By accessing or using our System(s), customer agrees to the terms of this document and will be held responsible for any violations hereof. StoryTeq or ITG Group will not provide any System without agreement to these terms stated.
Definitions
Applications – Third-party or proprietary systems or applications used to establish a direct or indirect integration.
Customer: a user, company, or its representative, with a current agreement with StoryTeq or ITG Group for the purchase of System or associated services; this includes any free trials of proof of concept.
Integration – Any connection to and from any system provided by StoryTeq or ITG group, this can be direct or indirect and contain any data type.
StoryTeq: StoryTeq and the affiliated ITG Group that provide and manage the System(s)
System: software System and services, including any trial versions, additional System purchased, and any modified, updated, or enhanced versions of such System and services that StoryTeq or ITG Group may make available.
1. Access to API’s
1.1 By using the API connections associated to any StoryTeq or ITG Group product you agree that you are authorised to establish a connection between parties and use the data exchanged in such a connection
1.2 StoryTeq and/or ITG Group hereby grants to Customer a limited, non-exclusive, non- assignable, non-transferable, revocable license, to access and use the API and to build integrations between the API and other software applications, websites, or products (collectively, “Applications”) for Customer’s internal business purposes. This license is subject to the limitations set forth in the terms below.
If Customer violates these restrictions, will automatically terminate Customer’s API license.
1.3 These Terms will apply to Customer and any third parties and end users to which Customer gives API access. Customer shall cause third parties and end users to comply with the terms stated in this Agreement, and will be responsible for any such third party and end user access as if it were by Customer itself.
1.4 By using the YouTube API, users, and clients or their customers will be bound by the YouTube terms of Service (ToS): https://developers.google.com/youtube/terms/api-services-terms-of-service and Google security settings page about revoking user access. All data privacy elements will be subject to the Google Third Party apps and services: https://security.google.com/settings/security/permissions
2. Integration and API use
Customer will use the System for Customer’s agreed business purposes and will not violate the security or integrity of a System in any way, including but not limited to:
1.1 use the API to replicate or compete with core products or services offered by StoryTeq or ITG Group;
1.2 sell access or sublicense the API for use by a third party;
1.3 transmit any malware or other computer program that may damage, harmfully interfere with, surreptitiously intercept, or expropriate any system or data;
1.4 reverse-engineer or attempt to extract the source code from the API or any other StoryTeq or ITG Group product or service;
1.5 cache or store Customer Data accessed via the API other than for reasonable periods in order to use Customer’s Application;
1.6 engage in any deceptive, misleading, illegal, or unethical activities or other activities that may be detrimental to the API, or any other system customers, or the public;
1.7 conduct penetration tests or vulnerability scans of the API and other systems or networks without the prior written permission;
1.8 Create any custom or unauthorised integrations to and from any application or system without prior written permission;
1.9 Customer shall keep confidential all API access credentials, passwords, and tokens, and shall endeavour to prevent and discourage third parties from making unauthorised use of Customer’s credentials;
1.10 Ensure all data transferred or exchanged has the correct level of protection and encryption throughout its journey and does not breach any data protection or legislative commitments.
3. Monitoring and Reporting
StoryTeq may monitor or correlate reporting analysis in order to establish or understand if the following has occurred, including any API or Integrations:
1.1 investigate violations of this Agreement or misuse of the System and associated integrations;
1.2 take measures to prevent security threats, fraud, or other illegal, malicious, or inappropriate activity;
1.3 notify Customer of violations of this Agreement or misuse of the System and associated integrations or API connections, remove any prohibited materials and/or deny access to any person who violates this Agreement;
1.4 suspend or terminate use of the System, integrations or API being used in a way that violates this Agreement or any other agreement Customer has with StoryTeq for the use of the System;
1.5 use its discretion in developing and implementing mechanisms to enforce this Agreement;
1.6 report any Customer activity that it suspects violates any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties. StoryTeq’s reporting may include disclosing Customer information, as required;
1.7 Generate statistical analysis in a third-party system that reviews user activity within the System, in line with applicable Privacy Policy
1.8 Any suspected violations of this Agreement must be reported directly to https://storyteq.com/contact/
4. Warranties and Indemnity
StoryTeq and ITG Group has the sole discretion to determine whether Customer Data or Customer's use of the System is in line with this Agreement. All Customer Data that is provided to StoryTeq or actions that are performed via Customer's account, whether provided or performed by Customer's employees, Customer's contractors, or Customer's customers and end users, are the sole responsibility of Customer.
StoryTeq reserves the right to prohibit or terminate any user account or business accounts in line with violation of this Agreement and its stated terms.
These Terms of Use for APIs and Integrations do not supersede any agreements or clauses within the Terms of Service for all StoryTeq and ITG Group systems.
Updates to this document form part of the StoryTeq and ITG Group Agreements and will be updated periodically. Any updates will be version-controlled and published on the StoryTeq website; every effort will be made to inform all clients of any changes, as applicable.
