# Code of Ethics and Business Conduct

*28* ^*th*^*September 2022*

At Storyteq, we help brands build better connections with their customers by utilizing our dynamic video platform. We strive for qualitative solutions, both through our software as through our people. This document outlines how we would like our employees to conduct themselves in doing business.

## 1. Values

At Storyteq, we put values before rules. When making decisions, we encourage people to use our values as guidelines.

*Create connections:*Strong connections lead to lasting relationships. That is why we help brands build better connections with their customers, focus on connections between us and our clients and build strong connections between the people who work at Storyteq. We also believe that our platform and services shouldn't be a standalone service and should connect to other services for the ultimate result.

*Forward. Fast.:*We like to get things done and improve constantly. We strive for the best result, but also believe that speed compounds faster than perfection.

*Unmatched Understanding:*We believe that truly understanding a problem, a proposition, the market and our clients leads to the best solutions and the best results. That is why we continuously challenge ourselves to understand 'things' better than anyone else.

### 2. Build Trust and Credibility

The success of our business is dependent on the trust and confidence we earn from our employees, customers and shareholders. We gain credibility by adhering to our commitments, displaying honesty and integrity and reaching company goals solely through honorable conduct. It is easy to *say* what we must do, but the proof is in our *actions*. Ultimately, we will be judged on what we do.

When considering any action, it is wise to ask: will this build trust and credibility for Storyteq? Will it help create a working environment in which Storyteq can succeed over the long term? Is the commitment I am making one I can follow through with? The only way we will maximize trust and credibility is by answering "yes" to those questions and by working every day to build our trust and credibility.

### 3. Respect for the Individual

We all deserve to work in an environment where we are treated with dignity and respect. Storyteq is committed to creating such an environment because it brings out the full potential in each of us, which, in turn, contributes directly to our business success. We cannot afford to let anyone's talents go to waste.

Storyteq is an equal employment/affirmative action employer and is committed to providing a workplace that is free of discrimination of all types from abusive, offensive or harassing behavior. Any employee who feels harassed or discriminated against should report the incident to his or her manager or to human resources.

### 4. Create a Culture of Open and Honest Communication

At Storyteq everyone should feel comfortable to speak his or her mind, particularly with respect to ethics concerns. Managers have a responsibility to create an open and supportive environment where employees feel comfortable raising such questions. We all benefit tremendously when employees exercise their power to prevent mistakes or wrongdoing by asking the right questions at the right times.

Storyteq will investigate all reported instances of questionable or unethical behavior. In every instance where improper behavior is found to have occurred, the company will take appropriate action. We will not tolerate retaliation against employees who raise genuine ethics concerns in good faith.

For your information, Storyteq's whistleblower policy is as follows:

Employees are encouraged, in the first instance, to address such issues with their managers or the HR manager, as most problems can be resolved swiftly. If for any reason that is not possible or if an employee is not comfortable raising the issue with his or her manager or HR, Storyteq's MD does operate with an open-door policy.

### 5. Set Tone at the Top

Management has the added responsibility for demonstrating, through their actions, the importance of this Code. In any business, ethical behavior does not simply happen; it is the product of clear and direct communication of behavioral expectations, modeled from the top and demonstrated by example. Again, ultimately, our actions are what matters.

To make our Code work, managers must be responsible for promptly addressing ethical questions or concerns raised by employees and for taking the appropriate steps to deal with such issues. Managers should not consider employees' ethics concerns as threats or challenges to their authority, but rather as another encouraged form of business communication. At Storyteq, we want the ethics dialogue to become a natural part of daily work.

### 6. Uphold the Law

Storyteq's commitment to integrity begins with complying with laws, rules and regulations where we do business. Further, each of us must have an understanding of the company policies, laws, rules and regulations that apply to our specific roles. If we are unsure of whether a contemplated action is permitted by law or Storyteq policy, we should seek the advice from the resource expert. We are responsible for preventing violations of law and for speaking up if we see possible violations.

***Proprietary Information***

It is important that we respect the property rights of others. We will not acquire or seek to acquire improper means of a competitor's trade secrets or other proprietary or confidential information. We will not engage in unauthorized use, copying, distribution or alteration of software or other intellectual property.

***Selective Disclosure***

We will not selectively disclose (whether in one-on-one or small discussions, meetings, presentations, proposals or otherwise) any material nonpublic information with respect to Storyteq, its securities, business operations, plans, financial condition, results of operations or any development plan. We should be particularly vigilant when making presentations or proposals to customers to ensure that our presentations do not contain material nonpublic information.

### 7. Avoid Conflicts of Interest

***Conflicts of Interest***

We must avoid any relationship or activity that might impair, or even appear to impair, our ability to make objective and fair decisions when performing our jobs. At times, we may be faced with situations where the business actions we take on behalf of Storyteq may conflict with our own personal or family interests. We owe a duty to Storyteq to advance its legitimate interests when the opportunity to do so arises. We must never use Storyteq property or information for personal gain or personally take for ourselves any opportunity that is discovered through our position with Storyteq.

**Here are some other ways in which conflicts of interest could arise:**

1. Being employed (you or a close family member) by, or acting as a consultant to, a competitor or potential competitor, supplier or contractor, regardless of the nature of the employment, while you are employed with Storyteq.

2. Hiring or supervising family members or closely related persons.

3. Serving as a board member for an outside commercial company or organization.

4. Owning or having a substantial interest in a competitor, supplier or contractor.

5. Having a personal interest, financial interest or potential gain in any Storyteq transaction.

6. Placing company business with a firm owned or controlled by a Storyteq employee or his or her family.

7. Accepting gifts, discounts, favors or services from a customer/potential customer, competitor or supplier, unless equally available to all Storyteq employees.

Determining whether a conflict of interest exists is not always easy to do. Employees with a conflict of interest question should seek advice from management. Before engaging in any activity, transaction or relationship that might give rise to a conflict of interest, employees must seek review from their managers or the HR department.

### 8. Gifts, Gratuities and Business Courtesies

Storyteq is committed to competing solely on the merit of our products and services. We should avoid any actions that create a perception that favorable treatment of outside entities by Storyteq was sought, received or given in exchange for personal business courtesies. Business courtesies include gifts, gratuities, meals, refreshments, entertainment or other benefits from persons or companies with whom Storyteq does or may do business. We will neither give nor accept business courtesies that constitute, or could reasonably be perceived as constituting, unfair business inducements that would violate law, regulation or polices of Storyteq or customers, or would cause embarrassment or reflect negatively on Storyteq's reputation.

***Accepting Business Courtesies***

Most business courtesies offered to us in the course of our employment are offered because of our positions at Storyteq. We should not feel any entitlement to accept and keep a business courtesy. Although we may not use our position at Storyteq to obtain business courtesies, and we must never ask for them, we may accept unsolicited business courtesies that promote successful working relationships and goodwill with the firms that Storyteq maintains or may establish a business relationship with.

Employees who award contracts or who can influence the allocation of business, who create specifications that result in the placement of business or who participate in negotiation of contracts must be particularly careful to avoid actions that create the appearance of favouritism or that may adversely affect the company's reputation for impartiality and fair dealing. The prudent course is to refuse a courtesy from a supplier when Storyteq is involved in choosing or reconfirming a supplier or under circumstances that would create an impression that offering courtesies is the way to obtain Storyteq business.

***Gifts***

Employees may accept unsolicited gifts, other than money, that conform to the reasonable ethical practices of the marketplace, including:

* Flowers, fruit baskets and other modest presents that commemorate a special occasion.

* Gifts of nominal value, such as calendars, pens, mugs, caps and t-shirts (or other novelty, advertising or promotional items).

Generally, employees may not accept compensation, honoraria or money of any amount from entities with whom Storyteq does or may do business. Tangible gifts (including tickets to a sporting or entertainment event) that have a market value greater than $100 may not be accepted unless approval is obtained from management.

Employees with questions about accepting business courtesies should talk to their managers or the HR department.

***Offering Business Courtesies***

Any employee who offers a business courtesy must assure that it cannot reasonably be interpreted as an attempt to gain an unfair business advantage or otherwise reflect negatively upon Storyteq. An employee may never use personal funds or resources to do something that cannot be done with Storyteq resources. Accounting for business courtesies must be done in accordance with approved company procedures.

Other than to our government customers, for whom special rules apply, we may provide nonmonetary gifts (i.e., company logo apparel or similar promotional items) to our customers. Further, management may approve other courtesies, including meals, refreshments or entertainment of reasonable value, provided that:

* The practice does not violate any law or regulation or the standards of conduct of the recipient's organization.

* The business courtesy is consistent with industry practice, is infrequent in nature and is not lavish.

* The business courtesy is properly reflected on the books and records of Storyteq.

### 9. Set Metrics and Report Results Accurately

***Accurate Public Disclosures***

We will make certain that all disclosures made in financial reports and public documents are full, fair, accurate, timely and understandable. This obligation applies to all employees, including all financial executives, with any responsibility for the preparation for such reports, including drafting, reviewing and signing or certifying the information contained therein. No business goal of any kind is ever an excuse for misrepresenting facts or falsifying records.

Employees should inform Executive Management and the HR department if they learn that information in any filing or public communication was untrue or misleading at the time it was made or if subsequent information would affect a similar future filing or public communication.

***Corporate Recordkeeping***

We create, retain and dispose of our company records as part of our normal course of business in compliance with all Storyteq policies and guidelines, as well as all regulatory and legal requirements.

All corporate records must be true, accurate and complete, and company data must be promptly and accurately entered in our books in accordance with Storyteq's and other applicable accounting principles.

We must not improperly influence, manipulate or mislead any unauthorized audit, nor interfere with any auditor engaged to perform an internal independent audit of Storyteq books, records, processes or internal controls.

### 10. Promote Substance Over Form

At times, we are all faced with decisions we would rather not have to make and issues we would prefer to avoid. Sometimes, we hope that if we avoid confronting a problem, it will simply go away.

At Storyteq, we must have the courage to tackle the tough decisions and make difficult choices, secure in the knowledge that Storyteq is committed to doing the right thing. At times this will mean doing more than simply what the law requires. Merely because we can pursue a course of action does not mean we *should* do so.

Although Storyteq's guiding principles cannot address every issue or provide answers to every dilemma, they can define the spirit in which we intend to do business and should guide us in our daily conduct.

***Accountability***

Each of us is responsible for knowing and adhering to the values and standards set forth in this Code and for raising questions if we are uncertain about company policy. If we are concerned about whether the standards are being met or are aware of violations of the Code, we must contact the HR department.

Storyteq takes seriously the standards set forth in the Code, and violations are cause for disciplinary action up to and including termination of employment.

### 11. Be Loyal

***Confidential and Proprietary Information***

Integral to Storyteq's business success is our protection of confidential company information, as well as nonpublic information entrusted to us by employees, customers and other business partners. Confidential and proprietary information includes such things as pricing and financial data, customer names/addresses or nonpublic information about other companies, including current or potential supplier and vendors. We will not disclose confidential and nonpublic information without a valid business purpose and proper authorization.

***Use of Company Resources***

Company resources, including time, material, equipment and information, are provided for company business use. Nonetheless, occasional personal use is permissible as long as it does not affect job performance or cause a disruption to the workplace.

Employees and those who represent Storyteq are trusted to behave responsibly and use good judgment to conserve company resources. Managers are responsible for the resources assigned to their departments and are empowered to resolve issues concerning their proper use.

Generally, we will not use company equipment such as computers, copiers and fax machines in the conduct of an outside business or in support of any religious, political or other outside daily activity, except for company-requested support to nonprofit organizations. We will not solicit contributions nor distribute non-work related materials during work hours.

In order to protect the interests of the Storyteq network and our fellow employees, Storyteq reserves the right to monitor or review all data and information contained on an employee's company-issued computer or electronic device, the use of the Internet or Storyteq's intranet. We will not tolerate the use of company resources to create, access, store, print, solicit or send any materials that are harassing, threatening, abusive, sexually explicit or otherwise offensive or inappropriate.

Questions about the proper use of company resources should be directed to your manager.

### 12. Do the Right Thing

Several key questions can help identify situations that may be unethical, inappropriate or illegal. Ask yourself:

* Does what I am doing comply with the Storyteq guiding principles, Code of Conduct and company policies?

* Have I been asked to misrepresent information or deviate from normal procedure?

* Would I feel comfortable describing my decision at a staff meeting?

* How would it look if it made the headlines?

* Am I being loyal to my family, my company and myself?

* What would I tell my child to do?

* Is this the right thing to do?

# Creating Great Gifs

## 1. Customer Flow

When using dynamic video within an e-mail the customer flow is as follows:

1. **E-mail**

   The recipients gets an e-mail and needs to open it *(open rate).*

2. **Personalized image**

   After the user opens the e-mail we show a personalized image with the look and feel of a video player *(click trough rate).*

3. **Landing page**

   This image contains a link that opens a landing page where the dynamic video starts to play. This has two reasons: First off, e-mail clients don't always allow video to play within mail. Second, by showing the video on a landing page, we've got the users where we want them, in the web domain of the client where they can convert directly below the video *(conversion rate).*

We see that the promise of a personal video in subject lines can boost open rates. But what we really want is that the recipient clicks through to the landing page. And that's where the personalized image comes into play.

Sometimes our clients prefer a still image, but we recommend animated gifs simply because it's more engaging.

### 2. The Power of Gifs

Humans are naturally attracted to movement. Because our brain is programmed to notice changes in movement. It stems from our evolution in which visual information was crucial to decide whether to fight or flight. That's why our brain is constantly in search of new visual information. And movement captures (and keeps) more attention than a static image.

Therefor, a gif-image caters more to the brain's visual systems and has a better chance to influence a person's action.

So, in short: if executed well, a gif can function as effective clickbait. Which makes it a crucial element within the e-mail flow. It boosts the amount of people that watch the dynamic video on the landing page. It helps you get the most out of your video content.

Just a couple of frames can be powerful enough to trigger your attention. Whether it's a popsicle that gets smaller with every bite or disappearing snow on a canvas to promote a winter sale. It just grabs your attention. The next step is to give it the look and feel of a video player and to personalize it, like in the image to the right.

In the shown gif -- used in a dropped basket email flow of an airliner -- we see a plane gliding through the air. It moves up and down, clouds are shooting by and personalized data is shown (day of departure and destination). By showing a play bar and a play button the recipient directly and intuitively understands it's a clickable gif that leads to the video.

### 3. How to Make the Best Possible Gif

When creating concept for a dynamic video, make time to **create a separate concept for the gif as well**. This way, you're able to shoot an extra scene when filming or make a special animation.

**If we want to make people curious to watch the video** - we should try to engage the user (to click the GIF) as good as we creatively and technically can.

**Creatively:**

* Our tech makes it possible to **personalize gifs**by adding/ replacing text or images within the gif-project file. When using text within the gif, for instance: "Hi John, see what's next...", make sure the message fits the subject line, body text of the mail and the content of the video itself.

* When using text **make sure it isn't a stand-alone message** , that can give people the feeling there is no video to follow. **It should always be a call to action to click.**

* The **aspect ratio** of the gif may depend on the e-mail template. So ask in advance, because this affects the image size.

* Ideally, there is room for **a play button in the middle of the gif**. Make sure the action in the gif and the dynamic elements aren't blocked by the play button because they're in the middle. (See example below).

* GIFs **loop** - design with that in mind: a cleverly designed and created seamless loop will allow for a tiny file yet its duration will feel indefinitely long

**Technically:**

* Make sure the gif **isn't longer than 2 seconds**. Otherwise, the file size will be too large for an e-mail. The last thing we want is for people to wait until their image is being loaded.

* For the same reason, the gif will be downsized to a **width of 600 pixels**. So make sure that everything in the image is shot big enough and is clearly visible.

* Use a low framerate to keep the filesize down, e.g. **10 frames per second** is a nice balance.

  * Use subtle movements to still have a smooth video at a lower fps

* Some mail clients do not accept moving images. What they do is, show the first frame of the gif. So **make sure that the first frame contains the complete message** you want to show to convince the viewer to click through. (See example below).

To give you as much inspiration as possible, we've listed a lot of different gif-images below. We hope this gives you a better understanding of the possibilities. And how important it is to create a concept for the gif because it's a crucial element in determining how much people watch the video.

# Data Protection Policy

*13* ^*th*^*April 2023*

## **1. Introduction**

Storyteq needs to collect and use certain types of information when using its software, this may include client employee contact information and that of their customers. It may also be required by law to collect and use certain types of information to comply with statutory obligations of Local Authorities, government agencies and other bodies.

This personal information must be dealt with properly, no matter how it is collected, recorded, and used whether on paper, IT-based, or recorded on other material. Safeguards must be in place to ensure all activity complies with the applicable data protection legislation.

Storyteq regards the lawful and correct treatment of personal information as vital to successful operations and is committed to maintaining confidence between our company and those with whom we have dealings. Storyteq ensures the organisation treats personal information lawfully and correctly.

Most businesses hold personal data on their customers, employees, and partners. The increase in the use of the internet, electronic communication and computerisation of business data has led to an increase in the importance of privacy. Breaches of computerized data security have prompted the introduction of legislation on a national and European level.

These include:

* Human Rights Act 1998.

* Freedom of Information Act 2000.

* Privacy and Electronic Communications Regulations 2003.

* Regulation of Investigatory Powers Act 2000.

* Telecommunications (Lawful Business Practice) Interception of Communications.

* Regulations 2000.

* General Data Protection Regulation.

* Computer Misuse Act 1990.

As Storyteq is an international organisation other legislation must also be considered and factored into any data processing activity. More detail on the relevant legislation can be found in the Legal and Regulatory Policy, that can be obtained by request from [DataProtection@teamitg.com](mailto:DataProtection@teamitg.com).

### **2. How Storyteq will manage Data Protection**

Storyteq will, through appropriate management, strict application of criteria and controls:

* Observe fully the conditions regarding the fair collection and use of information.

* Meet its legal obligations to specify the purposes for which information is used.

* Collect and process appropriate information, and only to the extent that it is needed to fulfil operational needs or to comply with any legal requirements.

* Ensure the quality of information used.

* Apply strict checks to determine the length of time information is held, this will be dictated in specific Data Processing Agreements.

* Ensure that the rights of people about whom information is held can be fully exercised under the DPA 18 and GDPR. This is detailed in 4.4 under subject access.

* Take appropriate technical and organisational security measures to safeguard personal information.

* Provide individuals that request it, within a maximum of 30 days from request, access to personal information held about them for no initial fee. Should the data subject require more detailed information that is beyond the reasonable access requirements, then an administration fee may be added.

* Correct or erase any information on an individual that is inaccurate or misleading, as per 4.4.

* Not use information for a purpose that is incompatible with the original purpose for which permission was given by the data subject.

* Obtain clear, express permission for handling and using 'sensitive' personal data, such as race, ethnicity, political opinions, religious beliefs, trade union membership, state of health (both physical and mental), sexual orientation, criminal convictions and sentences and allegations of criminal behaviour.

* Treat people justly and fairly whatever their age, religion, disability, gender, sexual orientation or ethnicity when dealing with requests for information.

* Set out clear procedures for responding to requests for information.

* Allocate such resources as may be required to ensure the effective operation of the policy.

* All data breaches will be fully investigated and reported to the relevant authority within 72 Hours.

* Data Privacy Impact Assessments will be carried out on all medium/high risk processes that may affect the rights and freedoms of individuals.

In addition, Storyteq ensures that:

* There is someone with specific responsibility for Data Protection within the group.

* Everyone managing and handling personal information understands they are contractually responsible for following good data protection practice.

* Everyone managing and handling personal information is appropriately trained to do so and supervised.

* Anybody wanting to make enquiries about handling personal information knows what to do.

* Queries about handling personal information are promptly and courteously dealt with.

* Methods of handling personal information are clearly described.

* A regular review and audit are made of the way personal information is held, managed and used.

* Methods of handling personal information are regularly assessed and evaluated.

* Performance in handling personal information is regularly assessed and evaluated.

* A breach of the rules and procedures identified in this policy may lead to disciplinary action being taken against the members of staff concerned.

### **3. General Data Protection Regulation (GDPR) and Data Protection Act 2018 (DPA 18)**

On 25 May 2018, the GDPR and DPA 18 came into effect in the UK; both cover data protection in the UK and must be read side by side. The main differences, according to the Information Commissioner's Office (ICO) are that: The GDPR has direct effect across all EU member states and has already been passed. This means organisations will still have to comply with this regulation and we will still have to look to the GDPR for most legal obligations. However, the GDPR gives member states limited opportunities to make provisions for how it applies in their country; from the 1st of Jan 21, the UK will write EU GDPR into UK legislation, it will be known as the UK GDPR and carry the same controls.

The UK, as of the 28th of June 2021, has an approved adequacy with the EU meaning the UK GDPR provides an adequate level of data protection controls to allow data to freely flow between the UK and EU.

Storyteq has offices in both the EU and the UK and ensures that the same controls are in place to make sure data subjects rights are fully protected under the UK GDPR (UK DPA 18) and EU GDPR.

#### **3.1 Guiding principles of data protection**

Below are the seven guiding principles of the GDPR and DPA 18. These are the foundations to processing personal data:

* Lawfulness, fairness and transparency

* Purpose limitation

* Data minimisation

* Accuracy

* Storage limitation

* Integrity and confidentiality (security)

* Accountability

These principles lie at the heart of our approach to processing personal data.

#### **3.2 How Storyteq addresses DPA 18 and GDPR**

Storyteq conducts the following controls in line with the GDPR and DPA 18 on all accounts that process personal data:

* **Data Flow Mapping** -- this is used to understand all the data touchpoints and where data moves from one system to another.

* **Subject Access Requests** -- this includes all other data subject rights and how they will be answered.

* **Data Processing Agreements** -- this document details how data will be processed for the data controller. It is clear and simple and allows all parties to know their responsibility.

* **Data Privacy Impact Assessments** -- These assessments are used to identify and manage any associated data management risk

* **Breach Procedure** -- The reporting of any confirmed data breach, either to the data controller or, if ITG is the data controller, an assessment to whether the breach needs to be reported to the ICO, within the statutory 72 hours.

These controls will be developed and changed in line with data protection legislation and any new guidance from the ICO.

### **4. Guiding principles**

#### **4.1 Fair obtaining and processing**

Storyteq will ensure that, as far as practicable, all individuals whose details are processed by Storyteq are aware of the way in which that information will be obtained, held, used and disclosed. Whenever possible, individuals will be informed of the potential recipients of the information. Processing of personal information by Storyteq will be fair and lawful and, in addition, it is ITG's policy that individuals will not be misled regarding the purposes to which Storyteq will process the information.

#### **4.2 Notification**

Storyteq will not use or process personal information in any way that contravenes its notified purposes, or in any way that would constitute a breach of the GDPR. When appropriate, Storyteq v will notify the

Information Commissioner of any amendments to the existing Storyteq policy, or of new purposes to be added to the Notification Register entry.

#### **4.3 Information quality and integrity**

Storyteq will endeavor to process personal information that is accurate, current and is of good quality. Information obtained by Storyteq will be adequate and not excessive for the purpose for which it is processed. In addition, information will be kept by Storyteq for no longer than is necessary for the purpose or purposes for which it was obtained.

All retention and data types held will be detailed in Data Processing Agreements with all data controllers. Where Storyteq is the data controller, the Storyteq Privacy Policy will apply.

#### **4.4 Subject access**

Storyteq will respond positively to subject access requests, replying as quickly as possible, and in any event within the 30-day time limit. Whereas individuals have a general right of access to any of their own personal information that is held, Storyteq will be mindful of those circumstances where an exemption may apply.

Storyteq will only disclose personal data to those recipients listed in the Notification Register, or whenever it is otherwise permitted by law to do so. Storyteq will always endeavor to seek the permission of the data subject where it is required by law to do so.

Under GDPR the following data subject rights apply and will be managed throughout by the group DPO:

* The right to be informed

* The right of access

* The right to rectification

* The right to erasure

* The right to restrict processing

* The right to data portability

* The right to object

* Rights in relation to automated decision-making and profiling

#### **4.5 Technical and organisational security**

Storyteq has in place appropriate security measures as required by the Data Protection Act. Information systems are installed with adequate security controls, and company employees who use these systems will be properly authorised to use them for company business.

#### **4.6 Computer misuse**

The Computer Misuse Act 1990 makes it an offence to gain unauthorised access to a computer, even if no damage is done and no files are deleted or changed. Anyone who accesses a computer without authorisation, for example by guessing a password, faces a maximum six-month prison sentence, a maximum fine of £2,000, or both.

If an individual gains unauthorised access with the intent to commit a further offence, for example accessing a bank account online to transfer money, they face five years' imprisonment and/or a fine.

This Act also makes it an offence to purposefully change files on a computer with intent and without authorisation. This could include deleting files or even changing computer settings. Anyone who does so, even if there is no intent to defraud or do damage, faces a maximum prison sentence of five years and/or an unlimited fine.

#### **4.7 Controlling access**

Storyteq has tightened physical access to data by restricting it to employees needing to access specific data in order to carry out their jobs. Storyteq takes steps to prevent accidental loss or theft of personal data by using server backup processes and increased security at our offices.

#### **4.8 Transfer of Data**

All data transfer must be via secure means in line with the Storyteq /ITG Group Cryptography policy and in line with sub-processors detailed and applicable data protection legislation.

The Schrems II decision has also changed the way EU data can be transferred to the US, this can no longer be done under the protection of the EU-US Privacy shield.

The Schrems II Decision is a key ruling by the Court of Justice of the European Union (CJEU), in July 2020 they declared that Privacy Shield, the EU-US personal data transfer mechanism, was no longer lawful. The Schrems II decision specifically looked at Privacy Shield and standard contractual clauses (SCCs).

Any transfer of EU citizens data outside of the EU must have binding corporate rules or standard contractual clauses in place to ensure data protection compliance. The data controller must also have approved any such transfer in line with any Data Processing Agreements (DPA) and Data Privacy Impact Assessment (DPIA) findings and recommendations.

As the UK left the EU before June 2021 it did not implement the new EU SCC's; for transfers from the UK to non-adequate third countries (mostly countries not in the EEA), the ICO has released the International Data Transfer Agreement (IDTA) and [draft guidance on transfer risk assessments](https://ico.org.uk/about-the-ico/ico-and-stakeholder-consultations/ico-consultation-on-data-transferred-outside-of-the-uk/).

The IDTA is considered to be a replacement of former SCCs and facilitates transfers from the UK to non-adequate third countries.

Storyteq will replace any current transfer agreements under the old EU SCC's by Sept 22 and either replace them with the new EU SCC's or UK IDTA, depending what is applicable.

#### **4.9 Sub-processors and compliance**

All sub-processors of personal data are subject to compliance with the applicable data protection legislation associated to the data subject's location and/or client requirements, in line with any DPA or MSA agreements.

Systems are hosted in Google Cloud Platform (GCP), normally hosted within the EU, unless specifically requested for alternative hosting location within client agreements. Any integrations that may process personal data is fully GDPR compliant in line with this Agreement.

### **5. International Data Protection Legislation**

As an international organisation offering a range of marketing activities, Storyteq must consider international data protection legislation. As GDPR is currently the most stringent of these legislations, Storyteq tries to ensure all data processing is done in line with GDPR, where this is not possible, other relevant legislation types are risk assessed and the required controls applied.

Any transfer or processing must be fully risk assessed by the group DPO to ensure the correct protection is given to the data processing activity.

#### **5.1 US Data Protection**

Storyteq and ITG Group has 2 offices in the US, Chicago and New York. The main federal legislation is the CAN-SPAM, as federal law it covers all states and requires the following compliance:

* Make sure you have a way to collect and manage opt-outs.

* And make sure your emailing partners are honouring opt-outs too

* Check your unsubscribe link.

* Is your mailing address correct?

* Evaluate your email content.

The focus of the law is to reduce spam and allow data subjects to control how many emails they receive. Most states then have subsequent data protection laws to add additional controls, the most stringent being New York and California.

More detail on US legislation can be found in the ITG Group Legal and Regulatory Policy, with state laws being detailed.

The European Court of Justice has recently invalidated the EU-US Privacy Shield, meaning that this cannot be used to govern the transfer of data to the US. As stated in para 4.8 binding corporate rules or standard contractual clauses must now be used.

#### **5.2 Canadian Data Protection**

Canada has the Canada's Anti-Spam Legislation (CASL) and the Personal Information Protection and Electronic Documents Act (PIPEDA) that governs the sending of emails and electronic communication in connection with commercial activity i.e. Commercial Electronic Messages (CEM's) and the required data protection measures for the protection of personal data.

The main rules behind CASL state:

* Determine if you are sending CEMs.

* Identify the channels through which you send CEMs.

* Assess if you have implied or express consent to send CEMs or if an exemption applies.

* Develop a plan to obtain any required consents.

* Make sure your CEMs contain the content required by CASL.

* Determine how CASL may affect your policies, processes, customer relationship management (CRM) and other IT systems, and staff training and awareness programs.

* Revise your policies, processes and systems as required Keep an audit trail, since CASL contains a "due diligence" defence.

Storyteq ensures all its systems and processes are compliant with data protection legislation including CASL and PIPEDA. All systems and associated services have all required data protection legislation assessed and compliance requirements applied.

## **1. Organize your project before delivering** .

* To template the project as accurately as possible, we require a source file of the creative - preferably the **PSD file**.

* This means a project file of the final, approved template design with layered elements in **high resolution/ quality**.

* Make sure that the provided footage is in **RGB** (not set to CMYK)

* Storyteq's Template Builder does not support **16-bit** images, so please ensure that `PSD` files are converted to **8-bit** depth.

* Make sure to give **clear names** to layers and/or scenes.

  E.g., Scene 1; Background 1; Company Logo White, etc. Preferably, give them names that match the briefing (so we know what's what).

* **Remove** anything that isn't used to avoid confusion, including hidden layers that aren't used.

* We'll be using one final **PSD**file per template in our platform.

### 2. Sizes and/or Scenes

* If the template needs multiple sizes, you can deliver all sizes together in one PSD file.

* We will use the names of the artboards as the name of the sizes in the template (see image to the right). E.g., if the artboard is named `300x250`, the name of the size in Storyteq will reflect that.

* If the template is a banner template or a video template based on animated static elements, and it needs to have multiple scenes, please make sure to have a distinction between scenes in the layers panel, as done with groups in the image on the right.

### 3. Placement of dynamic texts and images

Give clear instructions on where dynamic text and image layers can go by adding rectangles or guides to your project.

* **Rectangle** :

  Create a shape by using the rectangle tool. Turn off the fill and only leave the stroke(1).

* **Guides** :

  You can also add guides. Or create a rectangle and turn that shape into guides. Go to View in the Top Bar \> Select "New Guides from Shape"(2).

### 4. Additional files

* **Font-files** :

  If your project has custom fonts, please don't forget to send those as well. Preferably deliver fonts in `.ttf` or `.woff` formats.

* **Animations references (banner/video templates only)** :

  If your future template includes animations, we need references so that we can recreate them as close as possible to the original.

  Preferably, a video example (`mp4`) per size or at least of main sizes (e.g., vertical - `300x600` and horizontal - `970x250`).

### 5. Provide a template briefing and naming convention.

* Provide a clear template briefing that lists all adjustable elements. What should be adjustable via the Storyteq platform? Use the Storyteq Briefing Form that your Project Manager handed to you. This will allow us also to add channels and naming conventions.

### 6. Combine all files and send them over.

Combine all of your materials into a single folder before sending it over to us.

* Put different types of files in separate folders.

  E.g. Fonts, PSD files, Reference files.

* Include the Template Briefing in the main folder.

* Do not include files from other projects that are not relevant to the current project.

## 1. Animations: Template Builder possibilities

In the Template Builder it is possible to animate texts, images and shapes. By combining different types of animations you can create beautiful eye-catching banner/video/image templates.

The following animations are offered by Template Builder:

**Intro \& Outro**

* Fade in

* Scale

* Rotate

* Slide

**Middle animations**

* Bounce

* Heartbeat

* Blink

* Pulsate

* Shake

* It is possible to have multiple animations at the same time (e.g. Fade In, Scale and Rotate for Intro + Blink and Pulsate for Middle animations + Fade out and Slide for Outro).

* Both Intro and Outro animations can have the easing option with the choice between Linear, Ease Out cubic and Ease In cubic.

* If you're creating a banner template, it's not possible to add videos or GIFs there. However, if you want to have an object moving as in on a GIF, you can add the sequence of JPEGs/PNGs. In this case, you should have multiple images per frame. By putting each frame on the canvas one after another and making the duration of the layers short, you will get a nice animation of the object moving.

### 2. Template Builder animations: DON'TS

* Blurry motion movement is not possible in Template Builder. Alternatively, you can use Slide + Fade In/Out animations. *To make the object move faster, you should increase the distance and decrease the duration of the Slide animation.*

* It is not possible to control the starting time of the Intro or Outro animations. Although, it is possible to control the duration. It doesn't apply to Middle animations - there you can choose both the starting and the ending time of the animation.

* Template Builder doesn't support any kind of 3D animations. However, there're might be some workarounds to make the Template Builder animations look as close as possible to the original ones.

Overall, despite some limitations, Template Builder is capable of producing great output. If you want any particular animations that, for some reason, look too complicated for Template Builder - send us an example and together we surely will come up with some workarounds to recreate it as close as possible to the original!

In order for us to successfully convert and personalize your banner/image/video projects, it will have to meet some requirements. Below you will find our advise on how to create designs that will allow us (or you) to perfectly recreate them in Template Builder.

## 1. Text

As a small reminder, here are the Template Builder possibilities for text's properties:

* Custom font

* Text Color (including gradient)

* Text Background Color

* Stroke

* Shadow

Other than that, it's possible to apply Rich Text Styling to the text, which allows the user to:

* Have multiple fonts within ***one*** textfield

* An open text field should have 1 font size.

* Although Template Builder allows to have an open text field in different fonts and different colors - the copy should still be in 1 font size. In case different font sizing of the text would be needed - more then 1 text field will be created, this is not advisable due the possibility of text scaling and changing the look of the creative.

* ++Text color cannot be transparent.++

  In Template Builder it's not possible to have a cut-out dynamic text in order to see the background image/video behind it. **We can use matching text colors or gradients instead.**

### 2. Images

**Images DO'S \& DONT'S while designing for TB:**

* The files should be delivered preferably in a ++PSD format++.

* Make sure to have all assets in ++high-resolution++, especially logos and other graphic elements. Having them as smart objects should help with it.

* Make sure to have all assets as ++separate layers++.

* Make sure to ++name the assets++ and/or scenes accordingly (e.g. Scene 1; Background 1; Company Logo White, etc).

* Images cannot be cropped in Template Builder, that's why them being already ++pre-cropped per size++ in the PSD document saves us a lot of time during the process of extracting assets.

* If the images will be dynamic in TB in a form of an ++enum parameter++ , make sure ++the needed images are pre-cropped in a same format and size++. In this case we will avoid wrong placement of the images.

3. **Customize in Storyteq** -- Modify and manage your dynamic templates for automated content creation.

### **Delivering Figma Projects**

As a rule of thumb, keep in mind that we import all properties whenever we support the same ones in Template Builder. The ones that are not there in our Template Builder, we support through import, as best as we can.

To achieve an export of the Figma design as smoothly as possible, there are several delivery specs for Figma Projects. Keep this information in mind during the design process and when using the Plugin:

### Layers

* **Effects not existing in Template Builder**

  * Figma effects that are not supported in Template Builder will be skipped from importing.

  * If you ['flatten' the layer](https://help.figma.com/hc/en-us/articles/30101373312279-Flatten-layers) in Figma (e.g. make it a vector) the layer will be rasterised and has all effects baked in.

* **Figma background color**

  * Adjust Figma page background color in Template Builder editor.

* **Layers with multiple color fills**

  * Layer with multiple color fills will be imported as one layer with a mixed fill, as Storyteq supports one fill per layer.

* **Blend modes**

  * Blend modes are available in Storyteq, but need to be set manually after import - for now.

### Image and shape layers

* **Strokes**

  * A shape or text with stroke set to 'inside' or 'outside' in Figma → will be transformed to stroke set to 'center' in Storyteq.

  * Recommendation: set strokes to 'center' in the Figma file from the start.

* **Crop**

  * If images are set to ['crop' in Figma](https://help.figma.com/hc/en-us/articles/360040675194-Crop-an-image), the import result is better.

  * Double-click an image, enter edit mode, set to crop, and adjust boundaries.

* **Shape filled with image**

  * A shape filled with image in Figma → will be translated into an image layer + a shape layer in Template Builder (e.g. not the desired result)

  * A shape filled with image as a group in Figma → will be translated into a vector shape of the image in the desired shape, with transparency around it.

  * Recommendation: create a group from shapes filled with an image.

### Text layers

* **Letter spacing**

  * If the letter spacing property is set to **pixels** in Figma →this will be translated to **percentages** in Storyteq.

  * Recommendation: set letter spacing to percentages

* **Line-height for text layers**

  * If the **auto-layout** property is set in Figma → this will be translated to **default values** in Storyteq.

  * If the line-height property is set to **pixels** in Figma →this will be translated to **percentages** in Storyteq.

  * Recommendation: set line-height to percentages

Some typical Creative Automation terms that are good to understand!

## Dynamic:

A dynamic element is an element within the creative that can be changed based on a (data) trigger. Examples are the size of a video, text input, an image or scene selection.

### Modular:

When your project has modular scenes, it means scenes are swappable and/or skippable. Your After Effects project needs to be built up in a certain way to create a modular template. #### Placeholder:

When certain elements are uploadable, we need to know the exact dimensions and duration. For this, we need a placeholder (image or video) to automatically replace with the respective image or video uploaded by a user.

#### Parameter:

Any feature that controls an editable element in the Asset Create form is called a parameter. Parameters are used in four different ways.

* An **open field parameter** is a type of Parameter that accepts any input. When used with text, users can input any copy. When used with a type of asset, users can upload audio, images or video, depending on the type of placeholder.

## 1. What is video personalization?

In order to create the best possible personalized video, it is first a good idea to get a basic understanding of what dynamic video actually is, and how we can create a dynamic video. The information below should give you some basic insight into what personal video exactly is and what possibilities you can utilize.
What is a dynamic video?  
**Dynamic video content changes according to who is watching the video.**

In-video ads, the targeting data provided by advertising platforms (e.g. Facebook and YouTube) is used to create a more relevant experience. Think of location, age, or interests. The length, language, or aspect ratio of a video (e.g. landscape (16:9), square (1:1), or vertical (9:16) can be a dynamic aspect as well.

When personal elements, such as the viewer's name, email, birthdate, or other client data, are inserted in a dynamic video, people often speak of *personalized video* or *personal video*. These videos aren't seen in advertising but are used in customer journeys to create more engaging touchpoints.

In contrast to creating separate original videos for each recipient, dynamic video leverages technology -- the Storyteq dynamic video platform -- to allow you to use the same base video over and over again. The video has points within it that have been designated as fields where dynamic elements can be inserted. So, a dynamic video is one base video containing fields for dynamic elements, that are then replicated for each new viewer.

### 2. Project Settings and Structure

When making your video in After Effects **keep compositions in the same size and frame rate** as the deliverable. This also goes for inserted compositions in tracking data. Our standard format is **1080p25**.

Organize your project by creating separate pre-compositions for each scene of your video.

Create a separate composition for the **gif**.

Create a master composition, in which all the individual scenes are put in a chronological order and all the interchangeable (modular) scenes are put above each other. This way it's immediately clear how the project is structured.

Make sure that the pre-comps are exactly as long as the final desired length of that scene. Naturally, this introduces gaps if the modules are not the same length, but our logic will make sure no gaps are present in the final renders.

For keeping the project clean we strongly advise you to **organize your project in bins**. Create separate bins for your footage, graphics, images, audio files, precomps etc. This will make it easy to search for elements and save time.

**Use placeholders for personalized elements**, like text or images.

Style the dynamic elements exactly the way you want the final image to look, but in the case of images apply all effects and animations on a pre-comp.

### 3. Keep it Light (for Rendering)

In order to optimize rendering speed try to keep personalized video parts as light as possible, this means:

* **Avoid using cameras and lights**, as they have a massive impact on render speed, and can often be avoided.

* **Avoid using alpha footage** if it is not absolutely required. Using alpha footage as a matte/mask, for example, can easily be avoided, by using an actual mask.

* **Make sure you are using the lightest possible effects** for the goal you are trying to achieve. *E.g.* using *Fast Box Blur* instead of *Gaussian Blur* , or a simple *Brightness* adjustment instead of *Lumetri Color*.

* **Use common sense**. Don't put the same effect on the same subject multiple times. If you are applying a blur or any other effect, don't add the same effect to a pre-comp of the already blurred object. Just increase the blur on one of the layers instead of making AE calculate blurs twice.

***Note:*** *These suggestions only apply to the personalized video parts.*

### 4. Check your text layers before delivering

Make sure the following applies to text layers that need to be dynamic in the template:

* Dynamic text should be 'Point text.'

* To convert to point text:

  * Select the paragraph text box

  * Hover over the edge of the paragraph text box, and your cursor will change. Right mouse click -- if you did it right, you will see a different context menu that has the option to convert to Point Text.

* Align the text by using the character panel.

  * Do not adjust the line height via the paragraph pane. As shown in image 1, Leave all paragraph indents at 0.

  * Instead, adjust the line height in the Character panel.

* Make sure the font is scaled to 100%

  * If you need to scale up or down, please use the font size.

  * Make sure the font size is set at the largest font size that can be used (by default, we will only scale down the font size to make the text fit within the boundary box).

### 5. Audio

If you want to have an audio track playing in the background of your video, keep it separate from all the scenes. We can add your soundtrack when rendering the videos, so that it can play seamlessly despite varying video durations.

We don't have any specific audio specifications for After Effects projects. We can work with all common audio files, **.wav** files would be best.

More high-end audio post-processing specific file types are not compatible with our systems.

### 6. Tracking

For tracking **we prefer using Mocha** and its exported corner pin data. This is the lightest method of tracking and masking and is relatively easy to achieve. Please consider using this method.

Don't forget to try and keep the composition on which you apply the tracking data roughly the same size as your final output. We want to eliminate unnecessary scaling.

### 7. Delivery

Export your AE project using 'Collect Files.' You can do a 'Collect Files folder' per project/template also:

* Use AE's built-in function 'Collect Files' to create a neatly bundled package.

* Select the right comps and then collect them with the option 'Reduce Project.'

Font files

* The "Collect Files" function does not include the custom fonts that are used in the project. Make sure to include all used font files when delivering the collected files (e.g., ttf, otf)

* If special character sets are needed for localization (e.g., Cyrillic or Arabic), also provide these extra fonts.

Reference files

* Also, make sure to include rendered reference videos (mp4), as this gives us a clear understanding of the expected outcome.

**Provide a clear Template Briefing:**

List all dynamic (adjustable) elements: durations, sizes, scenes, uploadable images, audio, text fields, etc. What should be adjustable via the Storyteq platform, and are there any 'rules' we need to implement?

**Combine all your materials into a single folder, then send it over to us.**

* Put different types of files in separate folders within the main folder, as shown in the image. Make sure to include:

  * The Collect All

  * Fonts

  * Reference Files

  * Template Briefing

* Do not include files from old/future/other projects that are not relevant to the current project.

1. **Visualize** your project

   Which parts are dynamic, personalized, modular, or static?

2. Make sure all comps are in the **same size/frame rate** - even the ones with tracking applied.

# Picture lock

If the videos are completely to your liking, we ask to agree to a "picture lock". This means that the video montage is now "locked"; adjustments aren't longer possible (free of cost).

We mark this moment so explicitly because building a video template based on a video montage is a very labor-intensive process. Any change in the video montage would basically mean we have to start all over again. That's why this moment in the process is so important and we need a formal agreement to proceed. So any colleagues / managers / CEO's / office dogs / etc. that might have an opinion, need to be consulted before picture lock.

# Print Templates: Delivering files

**You are on the verge of creating a dynamic print template with Storyteq technology. Great! In order for us to successfully turn your master file into a Print template on the Storyteq platform, it needs to meet some requirements.**

This article will show you all the requirements for delivering your Print project files.

## 1. The brief

Our main aim on all template builds is to get it right the first time and to keep amends to a minimum. This requires an accurate, detailed marked up PDF brief, which will remove the need for us to query or guess anything.

The brief is the most important part of any template build. On manual asset creation, the main consideration is usually how it looks. The templates we build are able to move and respond to the user's controls, so not only do we need to consider how the template looks, but most importantly, how the template reacts.

This is your opportunity to tell us exactly what you want us to build and how you want it to work. The better the quality of information we receive, the more chance we have of getting it right the first time.

A good brief will feature the following:

* Artwork master files in Indesign

* Information on which areas of the supplied artwork need to be editable

* Maximum character counts for any editable text areas

* Information on the functionality required, e.g., selectors, toggles, image/date pickers

### 2. InDesign Artwork files

To build a print template, we require all artwork layout files to be supplied in **InDesign**. We have a set of scripts that we run to extract information from InDesign artwork, such as color information/breakdowns, image/text positioning, etc. They speed up the template creation process and allow us to build more quickly.

When collecting your InDesign files for us, please make sure all layers are linked correctly and all asset links are updates before sending them over. We'd like to prevent this pop up:

### 3. Images 

All images should be hi-res and positioned within the artwork to allow sufficient bleed. All logos should be supplied as vectors wherever possible to allow them to be used in various sizes. If different images/logos are required for selection, they need to be supplied in position on separate layers.

Any editable text must be set up as a solid color. No patterns or vignettes. 

If different headlines/copy are required for selection, they need to be supplied in position on separate layers.

### 5. Fonts 

All fonts for editable areas should be licensed and available on Universal Type Client for us to work with. For Print templates, we are unable to work with Adobe Fonts for an editable copy as we need an actual font file to upload to Storyteq. If fonts are not available on Universal Type Client, they will need to be purchased via our studio and this might come with extra costs.

* With the exception of cutter guides, please ensure that no elements are set to overprint.

* If more than one layout is required, e.g., 1, 2, or 3 logos, we'll need an example of each layout to work to.

* Please always provide an example copy for us to work with.

* Ensure 'Redefine Scaling' is greyed out on all copy and that all copy is set up at 100%

* Avoid setting up gradients in InDesign. If possible, please add them to the image or background itself.

* Though drop shadows can be achieved, we suggest avoiding their use unless 100% necessary.

* **Public task**: the processing is necessary for us to perform a task in the public interest or for our official functions, and the task or function has a clear basis in law;

UK and EU citizens' data will be stored and processed within the UK or EU. Any US citizens' data will be treated and processed as per the state applicable laws.

All client employees on whom we hold data will be made fully aware of how and why the data we hold on them will be used at the time we collect the data (such as when they register to use our technology). All 'opt in' consent will be shown in a clearly visible location.

Only data types that are required for the stated function will be collected.

### **How and why is my information shared?**

We only use your data in the manner and for the purposes stated on collection. It will only be shared with approved third parties who need to access it to carry out their duties in line with the services ITG offers to its clients.

We may also share personal data with the following external bodies when required to, in line with the applicable data protection legislation:

* regulators and government authorities, such as HMRC or the police, if we are required to do so by law;

* our insurers, legal advisers, or other third parties who need access to your data for managing, investigating, or defending claims or complaints;

* a potential purchaser of ITG or one of ITG's subsidiaries or parent companies that carry out work for you. This would only apply to clients who have agreed to be contacted for references or information;

* organisations (such as third-party service providers) that process your data on our behalf. They are not allowed to use your data for any other purpose than stated on collection and are fully compliant with the ITG ISO 27001 due diligence and third-party management program. You will be informed of any use of your personal data and the legal reason for its use. We take the security and confidentiality of your information very seriously.

### **International Transfer**

ITG, as a global business, considers the location of all data subjects and the required data protection measures. Data storage will always be ideally located in the same location (under data protection legislation) as the location of the data subject, and any data transfer of information between locations is protected in line with the applicable legislation.

If we transfer EU/EEA personal data to recipients outside the EU/EEA, we use adequacy decisions, data transfer agreements, Standard Contractual Clauses (SCC), UK IDTA, or other EU-approved mechanisms for such transfers. This includes any developments in the US Data Privacy Framework and safeguards and controls this is able to offer.

ITG ensures all of its third parties agree to the Privacy Principles and all data subjects are made aware of such transfers.

Any US data transfers will also be done in line with state legislation and transparency requirements of ITG policy.

### **Data retention**

Personal data is stored for various lengths of time depending on the nature and purpose for which it was collected.

We store personal data in line with any applicable statutory minimum periods and then review it periodically (usually annually) to ensure it is still necessary to be retained for the purpose for which it was collected. Where there is a statutory maximum length that data can be retained, we will delete on expiration. Any data stored on behalf of our clients is stored in line with separate agreements and applicable data protection legislation.

### **What are your Data Subject Rights?**

ITG respects the rights of all data subjects in line with applicable data protection legislation and will put in place processes that allow data subjects to exercise these rights.

# Service Level Agreement

We understand that service interruptions of our platform can have an effect on your customer contact and your business. We've set a high bar for service uptime because we believe that you should be able to depend on Storyteq to add value to your company.

## **1. The Basics**

* We guarantee a 99.5% monthly uptime.

* We've designed our SLA to be simple and transparent.

* If we fall short of our 99.5% uptime guarantee, we'll refund customers the monthly license fee of the month in which we fall short.

### **2. The Details**

Service Level Agreements can be chock-full of terminology that is difficult to decipher. We'd like to take the opportunity to explain, in real words, what the details of our SLA are:

### **3. Downtime**

To fairly assess the overall magnitude of downtime for everyone using Storyteq, "Downtime" is based on two factors: 1) the number of minutes Storyteq was unavailable, and 2) the percentage of Storyteq customers that were affected.

We use server monitoring software to monitor when Storyteq is down --- specifically, measuring the server-side error rate, looking at results from ping tests, web server tests, TCP port tests, and website tests.

At the end of each month, every individual downtime is added together to give us the entire month's "Downtime Period."  
*Calculating downtime can be a complicated exercise, so we aim to keep it as simple and transparent as possible by tying our SLA guarantee to a single monthly uptime number. Downtime doesn't affect everyone at the same time or in the same way. Storyteq could be experiencing an outage, but your campaign or application may be completely unaffected, and vice versa.*

Here are some scenarios that will not be counted towards downtime:

* Slowness with specific features (such as render time, page load time, etc.)

* Issues related to external apps or caused by third parties specific to your Storyteq usage.

* Delays with API calls or form submits.

* Network problems external to our systems which are beyond our control, such as bad routing tables between your ISP and our servers.

* "Scheduled Downtime" to complete maintenance.

### **4. Uptime**

"Monthly Uptime" is the percentage of total possible minutes Storyteq was available to you. To calculate this, we subtract the number of downtime minutes from the total possible minutes in a given month.

### **5. Scheduled Downtime**

Occasionally, we need to perform maintenance to keep Storyteq working as smoothly as possible. If scheduled downtime is necessary, we'll give you 48 hours advance notice. In a calendar year, there will not be more than 10 hours of scheduled downtime.

### **6. Service Credit**

If we miss our 99.5% uptime guarantee, we'll refund you the monthly fee of the particular month that Storyteq was down to you according to the above-mentioned terms.

### **7. A Note About Performance Issues**

Storyteq's SLA excludes performance issues:

* Caused by factors outside Storyteq's reasonable control

* That resulted from any actions or inactions of you or any third party

* That resulted from your equipment and/or third-party equipment (not within the primary control of Storyteq)

### **8. Security Issues**

Security issues are a different beast altogether. We try our utmost to protect our systems and your data. More about our data policy can be found [here](https://docs.storyteq.com/home/data-policy). Whenever there is a security issue, we'll notify you as soon as possible but in any case within 24 working hours after we found the issue. We'll tell you what happened and what we've done to mediate the issue and/or going to do. We'll also give a classification to the issue, namely:

* Priority 1: High Security / Vulnerability risks, e.g. software vulnerabilities that have been discovered and exploited or published, unauthorized breaches of (part of) the system containing core functionality or access to data, unauthorized access to personal data

* Priority 2: Medium Security / Vulnerability risks, e.g. software vulnerabilities that have been discovered and attempted to be exploited, unauthorized breaches of non-core parts of the system

* Priority 3: Low Security / Vulnerability risk, e.g. access of known users to data beyond their permissions

Per classification, our response time to the issue is:

Prio 1: asap but not longer than 2 hours, Prio 2: asap but no longer than 4 hours, Prio 3: asap but not longer than 8 hours (note: 09:00-23:00 CET)

The recovery time is:

* Priority 1: asap but not longer than 2 hours

* Priority 2: asap but no longer than 4 hours

* Priority 3: asap but not longer than 12 hours

*Note: our operating hours are 09:00-23:00 CET*

The recovery point objective is always the nearest point of a full working un-breached version of the system which contains the most recent data. We run incremental backups 6x per day and full backups 1x per day.

If you have any additional agreements with us as part of your Agreement with us, we'll adhere to those additional agreements in addition to the above-mentioned actions

At Storyteq, we understand that efficient and secure access to your tools is crucial for productivity. That's why we offer Single Sign-On (SSO) integration to streamline your login process. With SSO, your team can access Storyteq using their existing company credentials, reducing password fatigue and enhancing security.

## How to Set Up SSO for Your Company

We use WorkOS to facilitate Single Sign-on connections to our platform. WorkOS supports a wide range of identity providers and protocols based on SAML and Open ID. ### Step 1: Setting Up Your Company on Our Side

To kick off the process, we need some information from you:

* **Your Company Domain**: We'll use your company's domain to set up your SSO configuration. This ensures that your team members bypass the regular Storyteq login flow and are directed to your SSO provider instead.

Once we have this information, we'll handle the initial setup on our end.

#### Step 2: Completing the Configuration on Your Side

After we've set up your company, we'll send you a custom link to complete the configuration. This link will guide your IT administratorinto the remaining steps.

# Storyteq Onboarding

**Before you start your journey with Storyteq, we will onboard you and your team on our platform and tools, making sure you can successfully make the most out of it. This article describes what to expect from the Storyteq Onboarding.**

We understand that different companies have different needs. That's why the following Onboarding flow should be taken as starting point. Depending on your company's needs and expectations, together we will agree upon the best route to take. For instance, if your company will be using our Manage Service team from the get-go, it makes more sense to postpone the Template Builder session. On the other hand, if your company heavily relies on static display ads and uses no video ads, we might start with the Template Builder, while skipping the Storyteq Extension for After Effects session altogether.

**Whom to Invite**

For each part of the Onboarding, it is necessary that you determine the appropriate stakeholders that should be involved. This ensures each department can see the value of Storyteq for their own teams. For the Kick-off call, we normally recommend that the decision-makers and Design and Marketing Leads are present. If you are integrating with Storyteq via API or SFTP, it's a good idea to also include Development in this call. You should invite anyone who will be using the platform to the Platform onboarding. This could be the Design and Marketing teams, for instance. For the template building sessions, you should logically include those who will be creating templates. It might be also interesting to involve other departments so they understand the potential of our tools. In case you will be using our Storyteq Extension for After Effects, we normally recommend that video editors be present.

**Duration**

You should plan to have one session per week after the kick-off call. By meeting weekly, we can ensure that your team has enough time to digest, explore and practice what was taught. Each session should last between 1 and 1,5 hours. Should you need to rearrange the order, frequency and duration of those sessions because of your objectives, please let us know and we are more than happy to align.

## 1. Kick-off Call

During the kick-off call, you will be introduced to your dedicated Customer Success Manager (CSM). Your CSM will be guiding you from this point on throughout the rest of the Onboarding. On this call, we will be discussing your goals when using Storyteq, your current and desired workflows. It is important that we understand as much as possible what your challenges are, so we can guide you on how to be successful with Storyteq. How do you create assets? How and where do you traffic assets? What type of assets need scaling? These are a few questions we will be addressing as well.

Besides that, we will be discussing and agreeing upon the Onboarding plan for your company. This gives you the opportunity to think about what is required, and who will be involved.

We also like to understand what has the highest priority for you in creative terms, so we can already address those while your team is being onboarded. This can be one upcoming campaign, for instance.

### 2. Platform

In this first session, we will be explaining the main functionalities of Storyteq: creating single assets and in batches, creating templates, reviewing and distributing assets to your connected channels. We will walk you through the platform, showing you all the features and how to find your way around it.

After this session, you will be able to:

* Navigate the platform;

* Create assets (both single and batches);

* Connect your workspace to different output channels;

* Upload assets.

### 3. Template Builder

Our low-entry template editor, the Template Builder, is the focus of this session. We will go through the different types of templates you can create (video, static, HMTL5 banner), their outputs, how to use the Builder, all its functionalities, and the most important: the smart resizer and how to make dynamic elements. Whenever possible, we build a functional template with your company's assets.

We will also be explaining when to choose between the Template Builder and the Storyteq Extension for After Effects for template creation.

After this session, you will be able to:

* Create video templates;

* Create static templates;

* Create banner templates;

* Change quality settings for the outputted files.

### 4. Storyteq Extension for After Effects

A unique and powerful tool, the Storyteq Extension for After Effects is our plugin for complex video templates. In this session, we will explain how to use the Storyteq Extension in depth. We will go through the steps to create dynamic parameters and logic in your project, how to have different sizes in your template, and how to finalize and upload your project to the Storyteq platform.

We understand the Storyteq Extension for After Effects is a bit more complex to use due to its nature. Therefore, more than one session might be necessary after this first introduction to it. However, we expect that after this session, you will be able to:

* Understand how the Storyteq Extension for After Effects works;

* Decide between using basic and expert mode;

* Create video templates in After Effects;

* Use the Storyteq Extension for After Effects to create parameters;

* Create logic to the dynamic elements;

* Upload your project to the platform.

### 5. Template Thinking

When getting started with Storyteq, your workflow is very likely to change. What was once done manually, will become automated. That means less work adapting and changing copy for instance, but more attention to what is going to be replaceable in your ad. This optional template thinking session is a moment for us to discuss how to work in templates, give you insight into how your creative assets could (or shouldn't) be templated, and foster your imagination.

This session does not have a structured or predetermined shape. But expect to be more inspired and confident about how to use creative automation in your favor after it.

# Storyteq Software Acceptable Use

*13* ^*th*^*April 2023*

This Acceptable Use Agreement ("**Agreement**") describes acceptable use of and access to any system supplied by Storyteq and ITG Group, including any SaaS or Mobile Apps, whether it is provided directly or through another party.

By accessing or using our System(s), the customer agrees to the terms of this Agreement and will be held responsible for any violations hereof. Storyteq or ITG Group will not provide any System without an agreement to these terms stated in the Agreement.

## Definitions

**Storyteq:**Storyteq and the affiliated ITG Group that provide and manage the System(s)

**Customer:** a user, company, or its representative, with a current agreement with Storyteq or ITG Group for the purchase of the System or associated services; this includes any free trials of proof of concept.

**Customer Data:** all items uploaded to the System and provided for use within services.

**Intellectual Property Rights:** all and any copyright, know-how, rights in inventions, patents, trade secrets, trademarks and trade names, service marks, design rights, rights in get-up, database rights and rights in data, the right to sue for passing off, utility models, domain names, rights in goodwill and all similar or equivalent rights and in each case, whether registered or not, including any application to protect or register such rights and all renewals and extensions of such rights or applications, whether vested, contingent or future, and wherever existing.

**System:** software System and services, including any trial versions, additional System purchased, and any modified, updated or enhanced versions of such System and services that Storyteq or ITG Group may make available.

### 1. Unacceptable Use and System Content

Customer may not upload Customer Data or use the System in a manner that:

1.1 violates any local, state, national, foreign, or international Regulations, including applicable data protection and privacy regulations, or fails to secure all required consents from the data subject;

1.2 advocates or induces illegal activity;

1.3 infringes or misappropriates the Intellectual Property Rights of another party;

1.4 publishes, posts, uploads, or otherwise distributes any software, music, videos, or other material protected by intellectual property laws (or by rights of privacy or publicity), unless Customer has all rights and consents required to do so;

1.5 is invasive of another's privacy or otherwise violates another's legal rights, such as rights of privacy and publicity;

1.6 is threatening, abusive, harassing, stalking or defamatory;

1.7 is deceptive, false, misleading or fraudulent;

1.8 modifies, alters, tampers with, repairs, reverse engineers, disassembles, decompiles or otherwise creates derivative works of any software included in the System (except to the extent this is expressly permitted under a separate license agreement for the creation of derivative works within the system or associated services);

1.9 involves uploading files that contain viruses, malware, corrupted files, or any other similar software or programs that may damage the operation of another person's computer;

1.10 interferes with or disrupts the infrastructure associated to the System;

1.11 uses any high-volume automated means (including robots, spiders, scripts or similar data gathering or extraction methods) to access the System or any other accounts, computer systems, or networks connected to the System;

1.12 falsifies or deletes any author attributions, legal or proprietary designations, labels of the origin or source of software, or other material contained in a file that is uploaded;

1.13 restricts or inhibits any other Customer from using the System;

1.14 harvests or otherwise collect information about others without their express consent; violates the usage standards or rules of an entity affected by Customer's use, including without limitation any internet service provider (or ISP), ESP, or news or user group (including, for example, circumventing or exceeding equipment use rights and restrictions and/or location and path identification detail); and/or is legally actionable between private parties.

1.15 Use Storyteq's service to serve or host content via third-parties which at Storyteq's discretion, are incompatible with the service and its purpose.

### 2. Security

Customer will use the System for Customer's agreed business purposes and will not violate the security or integrity of a System in any way, including but not limited to:

2.1 accessing data on the System that is not intended for the Customer or their use;

2.2 logging into a server or account on the System that the Customer is not authorized to access;

2.3 attempting to probe, scan, or test the vulnerability of any System or to breach the security or authentication measures without the correct authorization and 30 notice period;

2.4 wilfully rendering any part of the System unusable;

2.5 attempting to gain unauthorized access to any portion of the System through any unauthorized means;

2.6 monitoring data or traffic on a system without permission;

2.7 leasing, distributing, licensing, selling, or otherwise commercially exploiting the System or making the System available to a third party other than explicitly agreed with ;

2.8 providing to third parties any evaluation version of the System without our prior written consent;

2.9 Sharing access or authentication credentials with any other user/business without express permission;

2.10 Using shared or multiple users accounts to access the System.

### 3. Monitoring and Reporting

Storyteq may monitor or correlate reporting analysis in order to establish or understand if the following has occurred:

3.1 investigate violations of this Agreement or misuse of the System;

3.2 take measures to prevent security threats, fraud, or other illegal, malicious, or inappropriate activity;

3.3 notify Customer of violations of this Agreement or misuse of the System, remove any prohibited materials, and/or deny access to any person who violates this Agreement;

3.4 suspend or terminate use of the System being used in a way that violates this Agreement or any other agreement Customer has with Storyteq for the use of the System;

3.5 use its discretion in developing and implementing mechanisms to enforce this Agreement;

3.6 report any Customer activity that it suspects violates any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties. Storyteq's reporting may include disclosing Customer information as required.

3.7 Generate statistical analysis in a third-party system that reviews user activity within the System in line with the applicable Privacy Policy

3.8 Any suspected violations of this Agreement must be reported directly to <https://storyteq.com/contact/>

### 4. Assessing

Storyteq has the sole discretion to determine whether Customer Data or Customer's use of the System is in line with this Agreement. All Customer Data that is provided to Storyteq or actions that are performed via Customer's account, whether provided or performed by Customer's employees, Customer's contractors, or Customer's customers and end users, are the sole responsibility of Customer.

Storyteq reserves the right to prohibit or terminate any user account or business accounts in line with the violation of this Agreement and its stated terms.

**Updates to this document form part of the Storyteq and ITG Group Agreements and will be updated periodically. Any updates will be version controlled and published when accessing the applicable System.**

**Integration** -- Any connection to and from any system provided by StoryTeq or ITG group, this can be direct or indirect and contain any data type.

**StoryTeq:**StoryTeq and the affiliated ITG Group that provide and manage the System(s)

**System:** software System and services, including any trial versions, additional System purchased, and any modified, updated, or enhanced versions of such System and services that StoryTeq or ITG Group may make available.

### 1. Access to API's

1.1 By using the API connections associated to any StoryTeq or ITG Group product you agree that you are authorised to establish a connection between parties and use the data exchanged in such a connection

1.2 StoryTeq and/or ITG Group hereby grants to Customer a limited, non-exclusive, non- assignable, non-transferable, revocable license, to access and use the API and to build integrations between the API and other software applications, websites, or products (collectively, "Applications") for Customer's internal business purposes. This license is subject to the limitations set forth in the terms below.

If Customer violates these restrictions, will automatically terminate Customer's API license.

1.3 These Terms will apply to Customer and any third parties and end users to which Customer gives API access. Customer shall cause third parties and end users to comply with the terms stated in this Agreement, and will be responsible for any such third party and end user access as if it were by Customer itself.

1.4 By using the YouTube API, users, and clients or their customers will be bound by the **YouTube terms of Service (ToS):** <https://developers.google.com/youtube/terms/api-services-terms-of-service> and Google security settings page about revoking user access. All data privacy elements will be subject to the **Google Third Party apps and services:** <https://security.google.com/settings/security/permissions>

### 2. Integration and API use

Customer will use the System for Customer's agreed business purposes and will not violate the security or integrity of a System in any way, including but not limited to:

1.1 use the API to replicate or compete with core products or services offered by StoryTeq or ITG Group;

1.2 sell access or sublicense the API for use by a third party;

1.3 transmit any malware or other computer program that may damage, harmfully interfere with, surreptitiously intercept, or expropriate any system or data;

1.4 reverse-engineer or attempt to extract the source code from the API or any other StoryTeq or ITG Group product or service;

1.5 cache or store Customer Data accessed via the API other than for reasonable periods in order to use Customer's Application;

1.6 engage in any deceptive, misleading, illegal, or unethical activities or other activities that may be detrimental to the API, or any other system customers, or the public;

1.7 conduct penetration tests or vulnerability scans of the API and other systems or networks without the prior written permission;

1.8 Create any custom or unauthorised integrations to and from any application or system without prior written permission;

1.9 Customer shall keep confidential all API access credentials, passwords, and tokens, and shall endeavour to prevent and discourage third parties from making unauthorised use of Customer's credentials;

1.10 Ensure all data transferred or exchanged has the correct level of protection and encryption throughout its journey and does not breach any data protection or legislative commitments.

### 3. Monitoring and Reporting

StoryTeq may monitor or correlate reporting analysis in order to establish or understand if the following has occurred, including any API or Integrations:

StoryTeq reserves the right to prohibit or terminate any user account or business accounts in line with violation of this Agreement and its stated terms.

These Terms of Use for APIs and Integrations do not supersede any agreements or clauses within the Terms of Service for all StoryTeq and ITG Group systems.

* **Critical:**Storyteq services are partially inoperative, and no workaround is available. Critical impact on normal business operations.

* **High:**Storyteq services are usable with limited functions.

* **Medium**: Storyteq services are available. A medium-impact issue has been identified, and it can be managed with a workaround until a permanent fix is deployed.

* **Low:**Storyteq services are available, a low-impact problem has been identified, and correction is required.

* **Feature or Suggestion:**Storyteq services are usable and functioning correctly. A Customer has suggested a change or enhancement.

*Prioritization is based on the severity of the issue. Critical issues are getting the highest priority and come first. With the tickets of the same importance, we follow the natural flow (first in, first out).*

# Storyteq Video Player

In order to easily show the dynamic video and get CRM analytics into the Storyteq platform, we have developed a video player. The player uses the unique hash generated by Storyteq API when creating a video as a reference to load the correct video data and generate video analytics.

The analytics are visible in the Storyteq dashboard. Please contact us via email: [support@storyteq.com](mailto:support@storyteq.com), if you haven't received a login yet, then we'll provide one for you. You can also add new users to view the analytics if you are the Admin of a company.

## 1. Migrating from Storyteq JW Player Connector

In a previous version, JW Player was used as a base for the Storyteq Video Player. Due to changes in the licensing of JW player, some features like autoplay are no longer available. For this reason, we have released a new version of the player that is based on VideoJS, obviously this version does not require any form of licensing to use features like autoplay. The player configuration is also fully backwards compatible. All you need to do is upgrade the embedded JavaScript files required for the player to the newest version. Previously, loading the scripts usually looked something like this (or a locally stored variant):

### Output File Formats

For templates created using our Template Builder or the Storyteq Extension for After Effects, you can determine the output quality of your files before you upload the created asset to your media channels or DAM system.

When clicking the ***Output Settings*** tab for Template Builder templates, all the sizes you chose for your template will be listed. The default quality is always high. You can change it by size or apply the same rule for all sizes upon clicking on one of the sizes. When clicking the ***Output Settings*** tab for templates created using the Storyteq Extension for After Effects, you'll have the option to choose the best format for video, images(stills) or GIFs.

# Technical implementation

## 1. Storyteq render API

We implement our technique both in CRM applications and in Advertising applications. Both of these applications make use of our render functionality. For this rendering functionality, we have an API. More information about this render API can be found [here.](https://developer.storyteq.com/)

### 2. Description of the CRM flow

* The Customer Data required for the Personal Video is sent from your CRM system through a REST API connection (trigger-based, or in bulk).

* Templates are data driven video projects installed and made accessible through the Storyteq platform and API. The template generates the Personal Video and gif / image based on the Customers Data. Each template has one or more parameters, parameters are data input fields which map your Customer Data to elements in a template.

* If you provide values for the parameters and send them to the Storyteq API trough a POST request, a video (and gif / image) are created.

* Check out our [documentation on creating assets for a template](https://developer.storyteq.com/?urls.primaryName=Content+Management+Platform+API+V2).

* The Customer Data travels through the Storyteq REST API to the 'rendering nodes'. On the (shielded) rendering nodes, the Customer Data is processed on a video template.

* Once the video rendering is done, the generated assets are uploaded and hosted under secure URLs.

* These URLs need to find their way back to the your CRM system. The best way to do this is via the notification feature. Generation of the video can take a few seconds up to a few minutes with large batches. The notification feature allows the Storyteq API to send back the asset URLs the second they are ready. * Returning the generated asset URLs to your CRM system forms the trigger for sending out the email to your customers. The email contains the personalized gif or image and will lead to landing page where the Personal Video can be watched

* On your landing page, the Storyteq video player can be implemented to easily load the created video trough a unique hash also returned by the Storyteq API. The unique hash can be passed on from the email as a URL parameter to the your landing page. * Videos created by the Storyteq platform are available for 30 days (unless agreed otherwise). Personal data is used for the sole purpose of rendering videos and the data that is used will be deleted automatically after 60 days (unless agreed otherwise).

* Storyteq has put in place commercially reasonable physical, electronic, and organizational procedures to safeguard and secure the information (Data) we collect, receive and/or process through or/and with Storyteq's services. The following terms and conditions (the "Terms") govern your access to, and use of, Storyteq's Software as a Service (SaaS) creative marketing platform and all related code, documentation, features, and services (collectively, "Storyteq's service" or "Platform"). Therefore, please read these Terms carefully since they set out the legal rights and obligations between you ("Customer") and StoryTeq ("Storyteq", "we", "our" or "us") and the affiliated Inspired Thinking Group (ITG) ("Group").

By accessing, utilising or using any part of the Storyteq platform, dashboard and/or any Storyteq's related service, you, and any entity you represent acknowledge that you have reviewed, and you agree to be bound by these terms. If you do not agree to these terms, you may not access or use any part of Storyteq's service. Any deviation or changes required to these terms are to be set out in a separate agreement and served as terms to StoryTeq for review on <https://storyteq.com/contact/>

Any referenced document in this Terms of Service is to be taken in the following precedence:

1. Agreed terms with the ITG Commercial and Legal team, associated to your service;

2. Storyteq Software ITG terms of service (this document);

3. Storyteq Data Protection policy;

## **1. Acceptance of these Terms**

We make Storyteq's services available under these Terms to our Customers who have entered into an agreement with us by accepting service or a proposal from us in any form. The Storyteq's service may only be used in line with these terms, or any other documentation referenced in these terms, for the sole use within StoryTeq proprietary systems and associated services.

### **2. Modifications to the Terms**

Storyteq reserves the right to change or modify the Terms from time to time. Posting the modified Terms on this page will give effect to the revised terms, customer will be notified of any changes. Your continued use of the Storyteq service indicates your acceptance of any revised terms. Any modification to these terms does change or affect any external agreements or clauses made outside of these terms.

Any customer who does not agree with the modified terms is to communicate any objections to Storyteq within 45 calendar days, and will remain subject to previous terms and conditions until termination or expiration of the applicable terms.

### **3. Access and Restrictions**

This Agreement governs the access to and use of the Product by Customers and any individual who accesses and/or uses the Product through a provisioned account ("User").

Subject to your compliance with these Terms, after an agreement, Storyteq grants you a limited, revocable, non-exclusive, non-sublicensable, and non-transferable right of use of Storyteq's service.

As a condition to the foregoing, you agree not (and shall not allow any third party) to:

3.1 Copy, distribute, rent, lease, lend, use for timesharing, commercially host, export, modify, adapt, translate, enhance, customize, or otherwise create derivative works of, the Storyteq's SaaS platform or associated services or any part thereof;

3.2 Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of, the Storyteq's SaaS platform or associated service or any part thereof; without express prior written approval of Storyteq;

3.3 Remove or modify any proprietary notices, labels or legends on or in the Storyteq's SaaS platform or associated service;

3.4 Attempt to or execute any disablement of any security or technological features of the Storyteq's SaaS platform or associated service;

3.5 Use, post, transmit or introduce any device, code, routine or other items (including without limitation bots, viruses, worms, and Trojan horses) that interferes (or attempts to interfere) with the operation or integrity of the Storyteq's SaaS platform or associated service;

3.6 Use the Storyteq's service to design or develop any product or service that competes with the Storyteq's service or the business of Storyteq, or use the Storyteq's SaaS platform or associated service for any unlawful or fraudulent purpose, to breach these Terms, or to infringe or misappropriate any third party intellectual property, privacy, or publicity rights;

3.7 Take any action that imposes or may impose, as determined in Storyteq's sole discretion, a disproportionately large load on the Storyteq's SaaS platform or associated service infrastructure;

3.8 Publicly disclose the results of any Storyteq's service benchmark (or similar comparison) test, without the express prior written approval of Storyteq;

3.9 Use Storyteq's service in a manner inconsistent with its then-current documentation;

3.10 Each User is assigned unique login credentials that grant the User access to the system as provided by the customer to Storyteq. Customer and Users are expressly forbidden from allowing another individual to access the system using the same login credentials. Each User account must correspond solely to one individual person;

3.11 Customer may provide User accounts to any individual, including, without limitation, to Customer employees, freelancers, employees of Customer affiliates and Customer's own clients. Customer is responsible for Customer's and its Users' access to and use of the Product, and Customer Data.

In case of violation of the systems access and restrictions terms in this Section by a Customer, StoryTeq may, at its sole discretion, after a fair and reasonable remedy period depending on the severity of the violation, either suspend or terminate access to the system(s).

### **4. Data**

Storyteq has put in place physical, electronic, and organisational procedures according to industry best practices to safeguard and secure the information (Data) we collect, receive and/or process through or/and with Storyteq's services.

Data processing, privacy and protection terms can be found in the Data Protection policy and the Group Data Privacy policy.

4.1 All customer data, is the sole responsibility of the Customer, StoryTeq takes no responsibility or liability for data or any other material that is uploaded, posted to any other platform, generated and /or stored within the platform(s).

4.2 By using Customer data in or through the Product, Customer warrants that:

4.2.1 Customer owns the Customer Data and/or has the right to use it and the right to grant StoryTeq the rights as provided in these Terms;

4.2.2 the Customer Data and Customer's use of the Customer Data in or through the Product does not violate the privacy rights, publicity rights, copyrights, trade secret rights, contract rights or any other rights of any individual or entity, in any given legislation or regulation;

(c) the Customer Data and Customer's use of the Customer Data does not violate any applicable laws and does not advocate or could not reasonably be expected to induce illegal activity;

(d) Customer Data and Customer's use of Customer Data is not threatening, abusive, harassing, stalking, defamatory, deceptive, false, misleading or fraudulent. StoryTeq reserves the right to immediately suspend Customer's account and take appropriate measures if We receives a notice alleging that Customer Data infringes on third party intellectual property rights.

### **5. Privacy and Data Protection**

All Customer data and associated system data held within the platform is done so in line with the StoryTeq and Group Privacy Policy and Data Protection Policy, that can be found in the [Data and Legal Section of the StoryTeq Website](https://docs.storyteq.com/home/data-legal).

5.1 As you use our Services, you (or we for you) may import (manually or automatically) into our system, personal information you have collected from your users/customers or other individuals. We have no direct relationship with these users/customers or any person other than you, and for that reason, you are responsible for making sure you have the appropriate permission for us to collect and process information about those individuals in line with applicable data protection legislation.

5.2 In some applications, we will process personal information of your customers in order to generate personalized videos. If and whenever we do this, a data processing agreement should be in place to govern this processing procedure. If there is no data processing agreement in place, Storyteq's standard data processing agreement will apply.

5.3 No sensitive data types, under the terms of Art 9 of the GDPR, are to be processed within the Platform or any associated media held within the platform.

5.4 Any communications sent via the platform, through any integrations with third party services, are done so by the Customer at their sole discretion and within their own agreements/legal reason for contact with a data subject.

5.5 Any other relevant data protection legislation, based on the location of data processing or geographical location of the data subject, must be considered by the Customer and the relevant steps taken to comply with this legislation. StoryTeq will not be responsible or liable for any breach of data protection legislation associated to the processing of Customer or their customers data.

5.6 We may use, user level analytics taken from your system in order to enhance user experience and understand usage of the system to improve functionality and system performance.

5.7 Any third-party integrations or sub-processors of personal data will be conducted in line with the Group Privacy Policy and compliance with the required data protection legislation, this will normally be GDPR unless otherwise stated.

### **6. Feedback**

The Storyteq's service may include tools giving you the opportunity to provide us with feedback data (such as but not limited to, comments, suggestions, and questions) about the Storyteq's service ("Feedback"). You agree that all rights, title, and interest in and to all Feedback (even if provided to us other than through Storyteq's service tools) are and shall remain the sole and exclusive property of Storyteq.

Any feedback given or intended to be given, is only to be done with the express permission of StoryTeq or the Group.

### **7. Support \& Service Level Agreement**

In conjunction with any technical support and extended support to which you may be entitled under your Agreement, Storyteq provides email and telephone support (under working hours) for your use of Storyteq's service under these Terms.

### **8. Ownership**

*8.1 General.*All rights regarding the Storyteq platform and the Storyteq services, not expressly granted under these Terms are hereby reserved by Storyteq. In addition, the rights granted by Storyteq to you under these Terms shall terminate immediately upon the earlier of the termination of these Terms (as described in Section 13 below) or your breach of any provision of these Terms.

*8.2 Storyteq's service.*All rights, title, and interest in and to the Storyteq's service and its features (such as, but not limited to, graphics and interface), including all reproductions, corrections, modifications, customizations, enhancements and improvements thereof, as well as all related patent rights, copyrights, trade secrets, trademarks, service marks, goodwill, and intellectual property rights, are and shall remain the sole and exclusive property of Storyteq and/or its licensors.

*8.3 Any work made by you in our Service.*With Storyteq's service you have the ability to create creative concepts and generate audio visual works. All the intellectual property of these concepts and audio visual works shall be solely and exclusively owned by you. If our managed service team has created these concepts (including templates) or audio visual works for you, these are also solely and exclusively owned by you.

### **9. Confidentiality**

Both Storyteq and you, as a customer may have access to certain non-public and/or proprietary information of the other, in any form or media, including without limitation trade secrets, technical data, technology, know-how, software codes and designs, price lists, content inputted into AI models and associated prompts and developments ("Confidential Information").

9.1 You acknowledge and agree that Storyteq's service is or contains Confidential Information of Storyteq. Each party shall take measures at least as protective but in no event less than a reasonable standard, as those taken to protect its own Confidential Information, to safeguard the Confidential Information of the other party from unauthorized disclosure and use.

9.2 You may only use our Confidential Information to the extent explicitly granted under these Terms (if any), and you may only disclose our Confidential Information to your employees who have a need to know such Confidential Information and who are subject to written confidentiality undertakings at least as protective of our Confidential Information as set forth herein. All right, title and interest in and to Confidential Information are and shall remain the sole and exclusive property of the party disclosing it hereunder.

9.3 In the event that either you or we (the "Recipient") are required by law, regulation, judicial order or other administrative or legal requirements to disclose the disclosing party's (the "Discloser") Confidential Information, the Recipient agrees to notify the Discloser immediately in writing unless otherwise prohibited by such law, regulation, order or requirement. Upon termination of these Terms (as described in paragraph 13), each party shall promptly return or destroy all Confidential Information of the other party and, upon request, certify same in writing.

9.4 To the extent that you use AI models or AI functionality as part of Storyteq's service, any Confidential Information that you supply shall not be shared or used to inform or train third party models unless your express written consent has been obtained in advance.

### **10. Compliance with Laws**

You agree to comply with all applicable international, national, state, regional and local laws and regulations in accessing and/or using the Storyteq's service (or any part thereof) and in performing your obligations and exercising your rights under these Terms, including without limitation laws relating to privacy, data protection, and exports.

### **11. Representations and Warranties**

11.1 You/Customer hereby represent and warrant to StroyTeq that:

11.1.1 you possess and shall maintain all rights, licenses and consents required to license to Storyteq the consumer data and creative files, image rights, interfaces \& templates and that such license does not infringe or misappropriate the intellectual property, privacy, and/or publicity rights of any third party;

11.1.2 you possess and shall maintain all governmental and administrative licenses, permits and approvals necessary to use the Storyteq's service and to perform your obligations and exercise your rights under these Terms; and

11.1.3 all Creative Files, Image Rights, Interfaces \& Templates will be free from any viruses, Trojan horses, worms, or other malicious code or items, not contain obscene language, pornography (or other adult-only content), defamatory, racist or similar content, not constitute a tort against any third party, and/or not infringe or misappropriate the intellectual, privacy or publicity rights of any third party.

11.2 StoryTeq hereby represent and warrant to the Customer/You that:

11.2.1 it has the full right, power, and authority to enter into and fully perform its obligations under this or any other defined Agreement.

11.2.2 it shall comply with all laws and regulations applicable to the performance of its obligations under this Agreement; and

11.2.3 it and will use and manage the Product in accordance with this Agreement.

### **12. Disclaimer of Warranties**

12.1 You assume all responsibility for the selection of Storyteq's service to achieve your intended results. You also acknowledge and agree that the below exclusions and disclaimers are an essential part of these Terms. Applicable law may not allow the exclusion of certain warranties, so to that extent, such exclusions may not apply. References below to the "Storyteq's Service" include the Storyteq's service as a whole as well as each part thereof.

12.2 The Storyteq's service is provided on an "as is" and "as available" basis, and you acknowledge that apart from these terms and our SLA, there are no representations, warranties or claims of any kind made by Storyteq with respect to the Storyteq's service, whether express, implied or statutory, including without limitation warranties of quality, performance, merchantability, fitness for a particular purpose, non-infringement, and title, or otherwise arising from a course of dealing or usage of trade.

12.3 Apart from what is stipulated in our SLA, Storyteq does not warrant that Storyteq's service will operate uninterrupted, error-free, according to your needs, or that defects will be corrected. Storyteq does not offer a warranty or make any representation or claim regarding any content, materials, information, or results that you create or obtain through the Storyteq's service (such as the likelihood of increasing consumer retention, engagement or revenues). Your use of, and reliance upon, Storyteq's service, is entirely at your sole discretion and risk, and Storyteq shall have no responsibility or liability whatsoever to you in connection with any of the foregoing. That being stated, Storyteq warrants that it shall use its best endeavors to promptly rectify defects and errors which interrupt and/or adversely impact the Storyteq service

12.4 You agree that Storyteq will not be held responsible or liable for any consequences to you or any third party that may result from technical problems of the internet, slow connections, system failure, outages, traffic congestion, an overload of our or other servers, or other events beyond Storyteq's reasonable control.

### **13. Termination**

13.1 You acknowledge and agree that when you are in violation of these Terms, Storyteq can, at any time, and without notice to you:

13.1.1 discontinue or modify any aspect of the Storyteq's service; and/or

13.1.2 suspend or terminate your, or general, access to the Storyteq's service (or any part thereof), and in such an event Storyteq shall not be liable to you or any third party for any loss, damage, or injury resulting or arising therefrom. Our termination of your, or general, access to, the Storyteq's service shall constitute our termination of the Terms, and any Account you may have shall become cancelled upon such termination.

### **14. Term**

You enter into a contract with Storyteq for a period that is defined in your Agreement. Unless noted specifically otherwise in your Agreement, the initial term is one (1) year (12 months) after the start of your license (the moment you actually start using the Storyteq platform), regardless of the payment terms in the Agreement (e.g. you can have payment terms per month or per quarter while having a contract period of one (1) year). Your Agreement shall automatically renew for additional terms of one (1) year each unless either Party shall give notice of cancellation at least thirty (30) days prior to the expiration of the original term or any renewal thereof.

### **15. Limitation of liability**

Notwithstanding any other provision in these terms, and to the fullest extent permitted by applicable law:

15.1 Storyteq will not be liable to you or any third party for any indirect, consequential, incidental, punitive or special damages of any kind, or for your, or any third parties, loss of profits, revenues, business opportunity, or data, arising out of these terms or in connection with the use of, or inability to use, the Storyteq's service (or any part thereof), whether based on a claim or action in contract, tort (including negligence) strict liability, breach of statutory duty, or otherwise, even if Storyteq has been advised of the possibility of such damages, and even if direct damages do not satisfy a remedy.

15.2 Storyteq's aggregate liability to you or any third party for any loss and/or damages under these terms or in connection with the use of, or inability to use, the Storyteq's service (or any part thereof), shall not exceed the total amount of fees paid by you to Storyteq (if any) hereunder in the twelve (12) months prior to bringing the claim.

### **16. Indemnification**

You agree to indemnify and hold harmless Storyteq and its subsidiaries, its affiliates, officers, directors and employees, from and against any and all liability, losses, claims, damages and expenses, including, but not limited to, reasonable attorney's fees and costs of litigation, related to Your breach of these Terms, or to any Content You submit or post, or to Your use of the Platform, or to Your violation of any rights of a third party.

### **17. Publicity**

You agree that Storyteq may use your company logo on Storyteq's customer list and website to disclose that you are a licensee and customer of Storyteq.

### **18. Miscellaneous**

18.1 *Relationship*. The relationship between you and Storyteq is solely that of independent contractors. Nothing in these Terms shall be construed to create a partnership, joint venture, employment or agency relationship.

18.2 *Governing Law*. These Terms shall be governed by, and construed in accordance with, the laws of the Netherlands, without regard to their conflicts of law rules and principles.

18.3 *Jurisdiction and Venue*. You agree that any action, proceeding, controversy or claim (each, a "Dispute") under or arising out of these Terms, between you and Storyteq, shall be brought and resolved only in the courts located in the Netherlands, and you hereby irrevocably submit to the personal jurisdiction and venue of such courts with respect to a Dispute. Notwithstanding the foregoing, equitable relief may be sought in any court of competent jurisdiction.

18.4 *Severability*. In the event, any provision of these Terms is ruled to be invalid, illegal or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired, and a valid, legal and enforceable provision of similar legal intent and economic impact shall be substituted therefor.

### **19. Prices and Payment**

Your access to and use of Storyteq's service is provided at no additional charge to you under these Terms but is expressly subject to your continued and timely payment in full of all applicable fees, taxes, and other charges, as set forth in your Agreement with Storyteq. In any case of non-payment and/or untimely payment and/or incomplete payment, Storyteq has the right to (temporarily) suspend your right to Storyteq's services.

If and whenever you enter into an Agreement with Storyteq (through written confirmation), in the event you want to cancel your Agreement with Storyteq, either during or before delivery of the Service, without clear shortcoming from the side of Storyteq, Storyteq retains the right to charge you fully for the agreed-upon fees, taxes, and other charges, as set forth in your Agreement with Storyteq.

The license price may be adjusted annually, subject to the Service Producer Price Index (SPPI), effective at the beginning of each calendar year or at contract renewal, not more often than every 12 months.

# Video Ads: Delivering AE-project files

**You are on the verge of creating a dynamic video with Storyteq technology. Great! In order for us to successfully turn your video master file into a template on the Storyteq platform, it needs to meet some requirements.**

## **1. Work towards one final AE file per template**

* Storyteq needs all options of a template combined in one After Effects file, including all needed sizes and durations.

* Build the different sizes using the same source material as much as possible.

* Keep comps in the same frame rate.

* Create a separate comp for your fallback image. The Storyteq platform automatically renders a fallback image for each video that is created. This fallback image can be dynamic as well to match the video.

* From your After Effects project, the Storyteq team will create a template on the Storyteq platform. Watch the following image to see how it looks:

### **2. Minimize plugins or complex expressions**

* Storyteq's render farm does not support any third-party AE plugins, so applying third-party plugin functionality to dynamic elements is not supported.

* You can still use plugins for other non-dynamic parts of the video, but make sure to pre-render those parts before delivering your files to us, since we won't have the plugins installed.

### **3. Keep your project organized \& simplified**

* Make sure your project is built in an organized manner. Create separate bins for footage, graphics, images, audio files, pre-comps, etc.

* Mark your dynamic comps/layers and give them names that match the briefing (so we know what's what)

* If your project includes **PNG sequences** , you will need to pre-render them as `MOV` or `Alpha-MOV` since we do not support them.

* Keep the total amount of compositions as low as possible. Often, it's possible to combine effects or adjust the position/scaling all in one composition.

* Kindly supply any video footage in the final required resolution.

  * i.e. if you are using a footage clip that is 4k (2169x3840) within a 1920x1080 composition, please pre-render the footage at the correct size (1920x1080).

* In order to enable dynamic boxes behind a text field, those boxes need to be native After Effects elements as shape layers.

**Are your master files final and approved? No changes will be made anymore?**

Then, simplify the project:

* Remove anything that isn't used to avoid confusion.

* Pre-render parts that aren't dynamic and will remain the same.

* If the same elements need to be adjustable/dynamic in multiple places/sizes, pre-comp these dynamic elements and re-use the pre-comp throughout your project, as in the example. This way, we can add dynamic logic once.

### **4. Check your text layers before delivering**

Make sure the following applies to text layers that need to be dynamic in the template:

* Dynamic text should be 'Point text.'

* To convert to point text:

  * Select the paragraph text box

  * Select the text tool icon

  * Hover over the edge of the paragraph text box, and your cursor will change. Right mouse click -- if you did it right, you will see a different context menu that has the option to convert to Point Text.

* Align the text by using the character panel.

  * Do not adjust the line height via the paragraph pane. As shown in image 1, Leave all paragraph indents at 0.

  * Instead, adjust the line height in the Character panel.

* Make sure the font is scaled to 100%

  * If you need to scale up or down, please use the font size.

  * Make sure the font size is set at the largest font size that can be used (by default, we will only scale down the font size to make the text fit within the boundary box).

### **5. Give clear instructions on where dynamic elements can go by adding boundary boxes or guides to your project**

* Define the boundary box.

  * Show the room the text/image must expand in the wanted direction.

* Mark these as Guide Layers

  * Right mouse click on the layer \> Click Guide layer.

### **6. Modular Scenes \*Only if applicable**

Build your project in scenes.

* If you have dynamic scenes, create a master composition in which all the individual scenes (separate pre-comps) are put in chronological order, and all the interchangeable (modular) scenes are put above each other, just like the timeline in the image. This way, it's immediately clear how the project is structured.

* Make sure that the pre-comps are exactly as long as the final desired length of that scene. Naturally, this introduces gaps if the modules are not the same length (see the image above), but our logic will make sure no gaps are present in the final renders.

### **7. Delivery**

Export your AE project using 'Collect Files.' You can do a 'Collect Files folder' per project/template also:

* Use AE's built-in function 'Collect Files' to create a neatly bundled package.

* Select the right comps and then collect them with the option 'Reduce Project.'

Font files

* The "Collect Files" function does not include the custom fonts that are used in the project. Make sure to include all used font files when delivering the collected files (e.g., ttf, otf)

* If special character sets are needed for localization (e.g., Cyrillic or Arabic), also provide these extra fonts.

Reference files

* Also, make sure to include rendered reference videos (mp4), as this gives us a clear understanding of the expected outcome.

**Provide a clear Template Briefing:**

List all dynamic (adjustable) elements: durations, sizes, scenes, uploadable images, audio, text fields, etc. What should be adjustable via the Storyteq platform, and are there any 'rules' we need to implement?

**Combine all your materials into a single folder, then send it over to us.**

* Put different types of files in separate folders within the main folder, as shown in the image. Make sure to include:

  * The Collect All

  * Fonts

  * Reference Files

  * Template Briefing

* Do not include files from old/future/other projects that are not relevant to the current project.
